TERMS & CONDITIONS
SPEAK IT WITH MS. DIAZ

LANGUAGE AND INTERPRETATION
These Terms & Conditions are provided in both English and Spanish for accessibility, convenience, and transparency. Both versions are intended to communicate the same substantive terms.
In the event of an unintended discrepancy, inconsistency, or difference in interpretation between the English and Spanish versions, the English-language version shall govern to the extent permitted by applicable law.
Nothing in this language provision is intended to waive or limit any right that cannot lawfully be waived.
1. ACCEPTANCE OF THESE TERMS
These Terms & Conditions (“Terms”) govern enrollment in, purchase of, access to, and participation in educational programs and services provided by Speak It With Ms. Diaz, operated by Mariana Diaz Sanchez (“Speak It With Ms. Diaz,” “Instructor,” “Teacher,” “we,” “us,” or “our”).
By purchasing a service, enrolling a child, or permitting a child to participate, the purchasing Parent or legal Guardian (“Parent,” “Guardian,” or “you”) acknowledges that they have reviewed and agree to these Terms and any policies expressly incorporated into them.
The person completing enrollment represents that they:
Are at least 18 years old;
Are the Student's Parent or legal Guardian, or otherwise possess legal authority to enroll the Student; and
Are authorized to make decisions regarding the Student's participation.
These Terms apply to privately purchased services including Explorer 1 and other courses, Personalized Spanish Tutoring, Spanish Conversation Club, and other educational services offered by Speak It With Ms. Diaz.
Charter school-funded services may also be subject to applicable charter school rules, purchase orders, vendor agreements, and funding requirements.
2. EDUCATIONAL SERVICES
Speak It With Ms. Diaz provides live online Spanish-language educational services for children.
Services may include:
Live small-group Spanish courses;
One-on-one tutoring;
Conversation groups;
Guided speaking practice;
Educational games;
Interactive digital activities;
Worksheets and instructional resources;
Recorded lessons;
Independent review activities; and
Other supplemental educational resources.
Specific prices, schedules, duration, age ranges, prerequisites, and program features are described on the applicable program or enrollment page.
Enrollment in one service does not include another service unless expressly stated.
3. EDUCATIONAL NATURE OF SERVICES
Speak It With Ms. Diaz provides educational instruction.
Individual results vary.
Enrollment does not guarantee:
Fluency;
A particular vocabulary level;
Academic grades;
School credit;
Standardized-test results;
Mastery within a particular period; or
Any specific academic or linguistic outcome.
Progress may depend on attendance, participation, prior knowledge, age, motivation, practice, learning pace, and other individual circumstances.
4. CLASS SCHEDULES AND PUNCTUALITY
Classes begin exactly at the scheduled time.
The Instructor is not required to delay the start of a class because a Student is late, absent, unavailable, or experiencing a technical problem outside the Instructor's reasonable control.
Late Students may join the remaining portion of a class when technically possible.
The class will ordinarily end at its originally scheduled time.
No refund, credit, or extension is ordinarily provided for instructional time missed because of Student lateness.
5. STUDENT ABSENCES
Parents are responsible for ensuring Student attendance.
Parents should provide at least 24 hours' notice whenever they know that their child will miss a scheduled course, tutoring session, or Conversation Club meeting.
For group classes, notice of absence does not create a right to:
A refund;
Credit;
Private makeup lesson;
Prorated tuition; or
Extension.
The Student may return to the next regularly scheduled class.
6. ACCESS TO MISSED CLASS CONTENT
When a class recording is available, an absent Student may review the recording through the platform designated by Speak It With Ms. Diaz.
Recordings intended for educational review will ordinarily remain available for approximately 30 days.
Recordings are supplemental and do not create a guarantee of permanent access.
7. TUTORING CANCELLATIONS
One-on-one tutoring reserves dedicated instructional time for one Student.
A tutoring session may ordinarily be rescheduled without penalty when at least 24 hours' notice is provided.
Sessions canceled with less than 24 hours' notice or missed without timely notice may be considered used and non-refundable.
The Instructor may make reasonable exceptions in extraordinary circumstances at her discretion. An exception on one occasion does not waive the policy for future appointments.
8. HOLIDAYS
When a scheduled class falls on a federal holiday observed by Speak It With Ms. Diaz or another previously announced closure, the class may be rescheduled.
Replacement classes will be scheduled Monday through Friday.
Replacement classes will not ordinarily be scheduled on weekends.
For programs designed to meet twice weekly, reasonable efforts will be made to preserve the intended instructional frequency of two weekday sessions per week.
The replacement date and time will be determined by the Instructor based on availability and program needs.
9. INSTRUCTOR CANCELLATIONS
Speak It With Ms. Diaz will make reasonable efforts to provide at least one hour's notice when a class must be canceled or modified because of illness, emergency, power failure, internet failure, platform disruption, family emergency, or another circumstance beyond the Instructor's reasonable control.
When advance notice is impossible, notification will be provided as soon as reasonably practicable.
Classes canceled by the Instructor will ordinarily be rescheduled.
10. EXTENDED INSTRUCTOR ILLNESS OR INCAPACITY
If the Instructor becomes unable to teach for more than one consecutive week, affected families will be notified by email as soon as reasonably practicable.
When appropriate, the course schedule or completion date will be extended by approximately the amount of instructional time lost.
If the Instructor becomes unable to provide a substantial remaining portion of a purchased service and reasonable rescheduling is not possible, affected families may be offered an appropriate prorated refund, credit, transfer, or other reasonable remedy.
11. TECHNOLOGY REQUIREMENTS
Parents are responsible for providing technology reasonably capable of supporting online instruction.
A computer or tablet with touchscreen capability, or another appropriate input device, is strongly recommended because some activities require Students to manipulate digital objects, games, or interactive materials.
Families are also responsible for providing, as applicable:
Camera;
Microphone;
Speakers or headphones;
Compatible browser or software; and
Reliable internet connection.
12. INTERNET AND STUDENT-SIDE TECHNOLOGY
Parents are responsible for selecting their internet provider and determining the quality, reliability, and suitability of their household connection.
Technical problems originating from the Student's device, household connection, browser, camera, microphone, operating system, or equipment ordinarily do not create a right to a refund or makeup class.
13. THIRD-PARTY PLATFORM FAILURES
Speak It With Ms. Diaz may rely on third-party videoconferencing, hosting, educational, payment, scheduling, and other technology providers.
Speak It With Ms. Diaz does not control the independent operation of those services.
If a substantial platform or Instructor-side technical failure prevents meaningful delivery of a class, the Instructor may reschedule the affected class.
14. HEADPHONES
Noise-canceling headphones or headphones with a microphone are recommended to improve audio clarity, immersion, and concentration and to reduce environmental distractions.
They are recommended rather than required unless otherwise communicated.
15. PARENTAL RESPONSIBILITY DURING CLASS
Parents are not ordinarily required to remain beside their child throughout the class.
However, Parents remain responsible for providing age-appropriate supervision and an environment reasonably conducive to learning.
Parents are responsible for helping ensure that the Student:
Is reasonably attentive;
Is in an appropriate and safe environment;
Has necessary technology;
Uses the platform appropriately; and
Does not substantially disrupt instruction.
16. BEHAVIOR AND CLASSROOM MANAGEMENT
The Instructor's role is to teach Spanish and facilitate educational interaction.
The Instructor will make reasonable efforts to maintain a calm, respectful, supportive, and age-appropriate learning environment and to interact with Students fairly.
The Instructor does not provide disciplinary services, behavioral therapy, behavioral modification, childcare, or parenting services.
This applies to both group classes and one-on-one tutoring.
The Instructor may provide ordinary instructional redirection, but responsibility for persistent behavioral management remains with the Parent or Guardian.
17. DISRUPTIVE, INAPPROPRIATE, OR UNSAFE CONDUCT
The Instructor may mute, temporarily remove, or discontinue participation by a Student when conduct substantially disrupts instruction, compromises another Student's privacy or safety, involves inappropriate content, or prevents the Instructor from reasonably conducting the class.
When practicable, recurring concerns will be discussed with the Parent before enrollment is terminated.
Serious safety concerns or severe misconduct may require immediate action.
18. CLASS RECORDINGS
Classes may be recorded for disclosed educational purposes, including:
Student review;
Access to missed instructional content;
Educational continuity;
Internal instructional review; and
Quality assurance.
Recordings may contain Students' images, voices, first names, responses, educational work, and ordinary classroom participation.
Recording practices are additionally governed by the Privacy Policy and applicable Parent/Guardian consent.
19. RECORDING ACCESS
Educational recordings made available to enrolled families are intended only for authorized educational use.
Families may not independently publish, distribute, sell, livestream, publicly display, or upload recordings.
Families must protect the privacy of every child appearing or speaking in a recording.
20. PROMOTIONAL USE IS SEPARATE
Consent to educational recording does not constitute consent to identifiable promotional use.
Speak It With Ms. Diaz will obtain separate authorization before intentionally using an identifiable child's image, voice, name, testimonial, or classroom participation in advertising, public social media, promotional materials, or website marketing.
Promotional authorization is optional.
Refusing promotional authorization will not affect a child's ability to participate in educational services.
21. INTELLECTUAL PROPERTY
Unless otherwise indicated, curricula, presentations, lesson designs, worksheets, games, activities, graphics, characters, mascots, videos, recordings, audio, teaching sequences, digital materials, and other original instructional content are owned by, created for, or appropriately licensed to Speak It With Ms. Diaz.
Enrollment grants only a limited, personal, non-exclusive, non-transferable right to use provided materials for the enrolled Student's personal educational purposes.
22. PROHIBITED USE OF MATERIALS
Instructional materials may not be:
Sold;
Republished;
Publicly distributed;
Rebranded;
Uploaded to file-sharing services;
Shared commercially;
Used to operate another educational business;
Presented as another person's work; or
Otherwise commercially exploited
without prior written authorization.
23. CURRICULUM TRANSPARENCY
Parents may request reasonable information regarding curriculum, methodology, learning objectives, and general course content.
Providing curriculum information does not transfer intellectual-property rights or authorize copying or redistribution of proprietary materials.
24. STUDENT PRIVACY
Parents and Students must respect the privacy of other participants.
Information learned through participation may not be used to harass, identify publicly, embarrass, exploit, or improperly contact another Student or family.
25. PERSONAL INFORMATION
Collection and handling of personal information are governed by the Speak It With Ms. Diaz Privacy Policy.
Parents should provide Student information whenever reasonably possible rather than directing children to independently submit unnecessary personal information.
26. PAYMENT PROCESSING
Payments may be processed by third-party payment processors.
Speak It With Ms. Diaz generally does not directly receive or store complete payment-card numbers entered into a secure third-party checkout.
Parents are responsible for providing accurate billing information.
27. PRICING
The applicable price is the price disclosed at the time of purchase.
Future pricing changes do not ordinarily alter an already completed purchase.
Promotional, discounted, charter-school, or special pricing may have separate eligibility requirements.
28. REFUNDS
The separately posted Refund & Cancellation Policy is incorporated into these Terms by reference.
Nothing in these Terms eliminates any refund or consumer right that cannot lawfully be waived.
29. AUTOMATIC RENEWAL AND RECURRING BILLING
If a service is sold with automatic renewal, the price, billing frequency, renewal terms, and cancellation method will be disclosed before purchase.
The Parent must affirmatively consent to recurring billing before being charged.
Cancellation stops future renewals but does not ordinarily create a retroactive refund for a service period already provided or begun, subject to applicable law.
California requires express affirmative consent to automatic-renewal terms and straightforward cancellation mechanisms for covered subscriptions.
30. CHARTER SCHOOL FUNDS
Families using charter-school funds are responsible for following their school's purchasing procedures.
Speak It With Ms. Diaz does not guarantee that a charter school will authorize or reimburse a privately purchased service.
Charter-funded purchases may be subject to separate contractual requirements.
31. GROUP PLACEMENT
Group placement may depend on age, Spanish experience, speaking level, schedule, enrollment, and educational compatibility.
Payment does not necessarily guarantee placement in a particular group unless specifically confirmed.
If an appropriate group cannot be provided after payment, Speak It With Ms. Diaz will offer an appropriate alternative or refund when applicable.
32. PROGRAM CHANGES
Reasonable modifications may be made to activities, resources, instructional sequencing, digital platforms, or curriculum implementation when educationally or operationally appropriate.
Material changes affecting a purchased service will be communicated when reasonably practicable.
33. HEALTH, SAFETY, AND SCOPE OF SERVICES
Speak It With Ms. Diaz provides language education.
It does not provide medical care, psychotherapy, behavioral-health treatment, occupational therapy, diagnosis, childcare, or special-education services unless expressly agreed otherwise.
Parents are responsible for determining whether online participation is appropriate for their child.
34. ONLINE EMERGENCIES
Because instruction is remote, the Instructor is not physically present with the Student and cannot provide in-person emergency intervention.
A responsible adult should be reasonably accessible when appropriate considering the Student's age and circumstances.
Nothing in these Terms limits any legal child-safety or reporting obligation.
35. COMMUNICATION
Parents are responsible for providing an accurate email address and monitoring communications concerning:
Class links;
Schedule changes;
Cancellations;
Recordings;
Payments;
Materials; and
Program notices.
36. RESPECTFUL COMMUNICATION
Harassment, threats, abusive or discriminatory conduct, intentional disruption, privacy violations, or conduct that threatens the safety of participants may result in restrictions or termination of services.
37. TERMINATION OF SERVICES
Speak It With Ms. Diaz may suspend or terminate participation for substantial or repeated violations of these Terms, including serious disruptive conduct, harassment, fraud, nonpayment, privacy violations, unauthorized distribution of recordings, intellectual-property violations, or safety concerns.
Refund eligibility following termination will be determined under the Refund & Cancellation Policy, applicable law, and the circumstances involved.
38. FORCE MAJEURE
To the fullest extent permitted by applicable law, Speak It With Ms. Diaz will not be responsible for delay or inability to perform caused by circumstances outside its reasonable control, including natural disasters, widespread outages, government orders, severe weather, major platform failures, power failures, emergencies, or similar events.
Reasonable efforts will be made to provide scheduling remedies where practicable.
39. NO WAIVER OF LEGAL RIGHTS
Nothing in these Terms waives or limits any consumer, privacy, safety, or other legal right that cannot legally be waived.
40. SEVERABILITY
If any provision is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
41. CHANGES TO THESE TERMS
These Terms may be updated to reflect changes in services, technology, business practices, or legal requirements.
The current version will be posted with its effective or revision date.
Material changes affecting existing paid enrollments will be communicated when reasonably appropriate.
42. GOVERNING LAW
These Terms are governed by the laws of the State of California, except where another applicable law controls.

By purchasing or enrolling, the Parent or Guardian acknowledges that they have had the opportunity to review:
These Terms & Conditions;
The Privacy Policy;
The Refund & Cancellation Policy; and
Applicable Parent/Guardian consent documentation.
The Parent confirms that they are authorized to enroll the Student and agrees to comply with the applicable policies.

IDIOMA E INTERPRETACIÓN
Estos Términos y Condiciones se proporcionan en inglés y español para facilitar su acceso, comprensión y transparencia. Ambas versiones tienen la intención de comunicar las mismas condiciones sustanciales.

1. ACEPTACIÓN
Estos Términos regulan la compra, inscripción, acceso y participación en los servicios educativos proporcionados por Speak It With Ms. Diaz, operado por Mariana Diaz Sanchez.
Al comprar un servicio, inscribir a un menor o permitir su participación, el Padre, Madre o Tutor Legal reconoce haber revisado y aceptado estos Términos y las políticas incorporadas.
La persona que realiza la inscripción declara ser mayor de 18 años y tener autoridad legal para inscribir al Estudiante.
2. SERVICIOS EDUCATIVOS
Speak It With Ms. Diaz ofrece educación de español online que puede incluir cursos grupales, tutorías individuales, grupos de conversación, práctica oral, juegos, actividades digitales, materiales, grabaciones y recursos complementarios.
Los precios, horarios, duración, edades y requisitos específicos se muestran en la página del programa correspondiente.
3. NATURALEZA EDUCATIVA
Los resultados individuales varían.
La inscripción no garantiza fluidez, un nivel determinado, calificaciones, créditos escolares, resultados de exámenes ni ningún resultado lingüístico específico.
4. PUNTUALIDAD
Las clases comenzarán exactamente a la hora programada.
La Maestra no está obligada a retrasar una clase por llegadas tarde, ausencias o problemas técnicos ajenos a su control.
La clase normalmente terminará a la hora originalmente programada.
5. AUSENCIAS
Los Padres son responsables de la asistencia.
Se solicita avisar con al menos 24 horas de anticipación cuando sepan que el Estudiante faltará.
Las ausencias de clases grupales no generan automáticamente reembolso, crédito, clase privada de recuperación o extensión.
6. CLASES PERDIDAS
Cuando exista grabación, el Estudiante podrá revisar la sesión mediante la plataforma designada.
Las grabaciones educativas estarán normalmente disponibles aproximadamente 30 días.
7. TUTORÍAS
Las tutorías podrán reprogramarse sin penalización con al menos 24 horas de aviso.
Una cancelación tardía o ausencia podrá considerarse sesión utilizada y no reembolsable.
8. DÍAS FESTIVOS
Cuando una clase coincida con un día festivo federal observado por Speak It With Ms. Diaz u otro cierre anunciado, podrá reprogramarse.
Las recuperaciones serán de lunes a viernes y normalmente no se realizarán los fines de semana.
La Maestra determinará el horario de recuperación procurando mantener dos sesiones entre semana cuando el programa esté diseñado para impartirse dos veces por semana.
9. CANCELACIONES DE LA MAESTRA
Se procurará avisar con al menos una hora de anticipación ante enfermedad, emergencia, fallas eléctricas, internet, plataforma u otras circunstancias fuera del control razonable de la Maestra.
Cuando no sea posible, se avisará tan pronto como resulte razonablemente posible.
Las clases canceladas por la Maestra normalmente serán reprogramadas.
10. INCAPACIDAD PROLONGADA
Cuando la Maestra no pueda impartir clases durante más de una semana consecutiva, se notificará por email.
El curso podrá extenderse por aproximadamente el tiempo perdido.
Cuando una parte sustancial del servicio no pueda proporcionarse ni reprogramarse razonablemente, podrá ofrecerse reembolso proporcional, crédito, transferencia u otra solución apropiada.
11. TECNOLOGÍA
Los Padres son responsables de proporcionar un dispositivo adecuado.
Se recomienda computadora o tableta con pantalla táctil u otro dispositivo que permita interactuar con las actividades, además de cámara, micrófono, audio y conexión estable.
12. INTERNET
La familia es responsable de seleccionar y mantener su conexión.
Los problemas del dispositivo, internet, cámara, micrófono o software del Estudiante normalmente no generan derecho a reembolso o recuperación.
13. FALLAS DE PLATAFORMAS
Speak It With Ms. Diaz puede utilizar servicios tecnológicos de terceros.
Cuando una falla sustancial de la plataforma o del lado de la Maestra impida impartir adecuadamente una clase, ésta podrá reprogramarse.
14. AUDÍFONOS
Se recomiendan audífonos, preferentemente con micrófono y opción de reducción o cancelación de ruido, para mejorar concentración e inmersión.
15. RESPONSABILIDAD DE LOS PADRES
Los Padres no necesitan permanecer junto al niño durante toda la clase salvo que resulte necesario.
Sin embargo, son responsables de proporcionar supervisión apropiada, equipo, ambiente adecuado y apoyo para que el Estudiante permanezca razonablemente atento y no interrumpa sustancialmente la clase.
16. COMPORTAMIENTO
La función de la Maestra es enseñar español.
La Maestra mantendrá un ambiente tranquilo, respetuoso y adecuado, pero no proporciona disciplina, terapia conductual, modificación de conducta, cuidado infantil ni servicios de crianza.
Esto también aplica a las tutorías individuales.
17. CONDUCTA DISRUPTIVA
La Maestra podrá silenciar, retirar temporalmente o suspender la participación cuando la conducta impida sustancialmente la enseñanza, afecte la privacidad o seguridad de otros o haga imposible impartir razonablemente la clase.
18. GRABACIONES
Las clases podrán grabarse para fines educativos informados, incluyendo repaso, recuperación de contenido perdido, continuidad educativa y revisión interna.
Las grabaciones pueden contener imagen, voz, nombre, respuestas y participación de los Estudiantes.
19. USO DE GRABACIONES
Las grabaciones educativas son únicamente para familias autorizadas.
No podrán publicarse, venderse, distribuirse, transmitirse públicamente ni subirse a redes sociales.
20. PUBLICIDAD
El consentimiento para grabaciones educativas no constituye consentimiento para publicidad identificable.
Se solicitará autorización separada antes de utilizar públicamente la imagen, voz, nombre, testimonio o participación identificable de un menor.
La autorización promocional es opcional.
21. PROPIEDAD INTELECTUAL
Los currículos, materiales, juegos, actividades, personajes, diseños, videos, grabaciones, presentaciones y demás contenido educativo pertenecen a Speak It With Ms. Diaz o se utilizan bajo licencia correspondiente.
La inscripción concede únicamente un derecho limitado de uso educativo personal.
22. USOS PROHIBIDOS
Los materiales no podrán venderse, redistribuirse, republicarse, utilizarse comercialmente, presentarse como propios o utilizarse para operar otro negocio educativo sin autorización escrita.
23. CURRÍCULO
Los Padres podrán solicitar información razonable sobre currículo, metodología y objetivos.
Esto no concede derechos de copia o distribución.
24. PRIVACIDAD DE OTROS ESTUDIANTES
Los participantes deberán respetar la privacidad de otros niños y familias y no utilizar información obtenida durante las clases para identificarlos públicamente, acosarlos o contactarlos indebidamente.
25. INFORMACIÓN PERSONAL
El tratamiento de datos se regula mediante la Política de Privacidad.
26. PAGOS
Los pagos podrán procesarse mediante proveedores externos.
Speak It With Ms. Diaz normalmente no recibe ni almacena directamente números completos de tarjetas ingresados en sistemas seguros de terceros.
27. PRECIOS
Se aplicará el precio mostrado al momento de la compra.
28. REEMBOLSOS
La Política de Reembolsos y Cancelaciones forma parte de estos Términos.
29. RENOVACIONES AUTOMÁTICAS
Cuando un servicio se renueve automáticamente, el precio, frecuencia, condiciones y forma de cancelación se informarán antes de la compra.
El Padre deberá consentir afirmativamente los cargos recurrentes.
30. CHARTER SCHOOLS
Las familias que utilicen fondos de charter schools deberán seguir las reglas de su escuela.
Speak It With Ms. Diaz no garantiza reembolso escolar de una compra privada.
31. ASIGNACIÓN DE GRUPOS
La asignación podrá depender de edad, experiencia, nivel oral, horario y compatibilidad educativa.
Cuando no pueda ofrecerse un grupo apropiado después del pago, se ofrecerá una alternativa adecuada o reembolso cuando corresponda.
32. CAMBIOS DE PROGRAMA
Podrán realizarse cambios razonables en actividades, materiales, secuencias o plataformas.
33. SALUD Y ALCANCE
Speak It With Ms. Diaz proporciona educación lingüística y no servicios médicos, psicológicos, terapéuticos, de cuidado infantil o educación especial salvo acuerdo expreso.
34. EMERGENCIAS
La Maestra no está físicamente presente y no puede proporcionar intervención presencial.
Un adulto responsable deberá estar razonablemente accesible cuando corresponda a la edad y circunstancias del menor.
35. COMUNICACIÓN
Los Padres deberán proporcionar y revisar regularmente un email correcto para recibir información relacionada con clases, horarios, pagos y servicios.
36. COMUNICACIÓN RESPETUOSA
Acoso, amenazas, discriminación, violaciones de privacidad o conductas que comprometan la seguridad podrán resultar en suspensión o terminación.
37. TERMINACIÓN
Speak It With Ms. Diaz podrá suspender servicios por violaciones sustanciales o reiteradas de estas condiciones.
Los posibles reembolsos se determinarán conforme a la Política de Reembolsos, las circunstancias y la ley.
38. FUERZA MAYOR
Speak It With Ms. Diaz no será responsable, en la medida permitida por ley, por retrasos causados por circunstancias fuera de su control razonable.
